Mid-Year Irish M&A Review 2019

The first half of 2019 has been strong for the Irish M&A market, according to William Fry’s Mid-Year M&A Review for 2019 in association with Mergermarket. While overall deal volume has dropped, value is up, while private equity and overseas investments have also been significant.

Findings in the report include:

 

Private equity is a major contributor to Irish M&A – Private equity deal value totalled €1.8bn in the first six months of 2019, a 74% increase from H1 2018, with private equity firms accounting for three quarters of overall deal value in H1 2019. Deal volume has also risen from 19 deals to 21 deals.

Likely contributors to this activity include the fact that Ireland will be the only English-speaking country in the EU once the UK leaves, an attractive prospect for North American companies looking to acquire in the EU. Mature private equity firms are also interested in Irish companies, buoyed by Ireland’s steady GDP growth, as this presents Irish companies as attractive deal targets. As well, with the $1.8tn of dry powder that private equity firms have access to, they are now looking to younger markets like Ireland to deploy this capital.

To add to this, the Irish government is making moves to support private equity investment in the country, approving the drafting of the Investment Limited Partnership Bill that aims to make the jurisdiction more attractive to fund managers.

Irish M&A in 2019 – Seller’s Market is Predicted to Continue

Looking back at deal activity in 2018 within the Irish market, there was a strong appetite for deal making as, while the volume of transactions dipped slightly, the 440 transactions recorded by Experian is at the higher end of the typical annual volume, and the value of transactions hit €92bn, up from €31bn the previous year. This was boosted because of an increase in large and mega-deals, with seven €1bn plus deals announced during 2018, up from six in 2017. However, it was the €52bn acquisition of Dublin-headquartered drug maker, Shire PLC, by Japanese pharmaceutical company Takeda that dominated the deal landscape.

Not only was this the largest transaction of the year, but it was the biggest corporate takeover in Irish history, in a year characterised by high-value M&A in the global pharmaceuticals space – a trend that looks set to continue into 2019.

M&A Activity in Ireland Valued at a Record High €70.9bn in First Half of 2018

A new study concerning M&A activity in the first half of 2018 by William Fry in collaboration with Mergermarket has shown that 76 M&A deals were undertaken with a combined value of nearly €71bn.

Contributing to the success is Japan’s Takeda Pharmaceutical’s proposed takeover of Irish headquartered Shire Pharmaceuticals for €67.1bn – the largest ever foreign takeover by a Japanese company.

While megadeals are certainly encouraging, Irish M&A has not just boosted its deal value with one-off transactions such as the proposed Takeda/Shire deal. The number of deals conducted has remained fairly stable since H1 2017’s review, with 80 transactions recorded compared to this year’s 76.
