Benchmark International successfully facilitated the transaction between Dempsey, Dilling, & Associates to Thomas & Hutton. 

Thomas & Hutton (T&H), a Southeast-based, privately-held, professional consulting and engineering firm, is pleased to announce the addition of Smyrna, Tennessee-based Dempsey, Dilling & Associates (DDA) to the team. With offices in Georgia, South Carolina, North Carolina, and Nashville, Tennessee, T&H’s addition of DDA will increase its presence throughout middle Tennessee. The combination was effective February 1 and DDA will operate under the Thomas & Hutton brand. Smyrna and Nashville office locations will combine in representing the T&H Nashville region, and will be well positioned to provide more municipal services in Tennessee.

On growing the Nashville region, Regional Director Travis Todd says, “Our team in Nashville has been steadily growing since our opening three years ago. During its 74-year history, Thomas & Hutton has provided water and wastewater services across the southeast. The addition of DDA’s expertise provides the growing company additional skilled workforce and strengthens the services offered by T&H’s Water & Wastewater department, especially in the surface water treatment arena.

Formed in 2004, DDA provides consulting engineering services for municipalities and utility districts throughout Tennessee. These services cover the full spectrum of needs for municipalities, including water, wastewater, stormwater drainage, roadway, recreational facilities, municipal buildings, bridge replacements, GIS/GPS mapping, and environmental related projects.

Benchmark International Successfully Facilitated the Transaction Between Industrial Applications to Rogers & Morgan

Benchmark International successfully facilitated the transaction between Industrial Applications to Rogers & Morgan in Knoxville, Tennessee. 

Industrial Applications (“IA”), is a Knoxville-based sole proprietorship with a rich history dating back to 1938 when it was first established by G.W. Sutton, a retired engineer. The current form of IA is a specialized steam distributor focusing on equipment distribution, systems integration, ground support and engineering conservation control. IA offers a wide variety of products including steam traps, pumps, control valves, process valves, meters, coils, skid mounted process systems, as well as consulting and troubleshooting for independent contracts and services.

Benchmark International worked alongside Bob and Joy Sutton, the third-generation owners of IA, to plan and execute a successful acquisition process. The buyer, Rogers & Morgan, was identified as a prominent organization and a strong candidate for a synergistic acquisition.

Benchmark International volunteered with Second Harvest Food Bank of Tennessee

Benchmark International office in Nashville, Tennessee took part in the Second Harvest Food Bank donation efforts. This organization gives back to the communities of Tennessee through donations and volunteers committed to providing nutritious meals to those in need.

Managing Partner, Tyrus O’Neill, worked with his team to host this event. Half of the team participated on Thursday October 17, 2019, and the other half of the team will participate this Thursday October 24, 2019. He stated that he is glad his team has the opportunity to participate in a good cause for the community.

“The impact of hunger in the local community is an often-overlooked issue. Malnutrition and hunger, especially in children, can cause lasting developmental and health issues,” O’Neill said. “Local organizations like the Second Harvest Food Bank of Middle Tennessee do a great service to the community and is an organization we proudly work with. The Nashville office of Benchmark International looks forward to the continued efforts of Second Harvest Food Bank and the role we can play in helping the local community thrive.”

Second Harvest Food Bank of Middle Tennessee opened its doors in 1978 with commitment from several community leaders. The purpose of the organization was to provide a central distribution center for companies, groups, and individuals who wished to help provide food for hungry people in Middle Tennessee. Their mission is to feed hungry people and work to solve hunger issues in their community.

Since its inception, Second Harvest Food Bank of Tennessee has grown to be one of the largest and most comprehensive of more than 200 food banks and food distribution centers nationwide. In 2018 alone, Second Harvest distributed more than 30 million pounds of food to more than 460 Partner Agencies, providing more than 28 million meals to hungry children, families, and seniors throughout their 46-county service area.

This is a tangible way for the Benchmark International team to give back to the community and make an immediate impact in the lives of children in need. The team is preparing a total of 6,000 sack lunches for children, in afterschool programs, who don’t always know where their next meal will come from.

Administrator Deborah McManman organized the event for the Tennessee office. She stated, “I’ve heard so many amazing stories about the work done at Second Harvest Food Bank I knew it would be a great place for our office to volunteer,”

This experience allows everyone to see how just a few hours can make a real difference in the community. The team bagged food, and it’s a simple task, but it makes a difference in the lives of children. It gives them the ability to go to sleep on a full stomach and go to class with more energy. The Tennessee team looks forward to taking part in this event again in the future.

Strong M&A Activity Continues In Nashville For The Healthcare Industry

Since the early 70’s, Nashville has been considered a hub when it comes to the health care industry.  Nashville has developed and changed the landscape of the industry in the past 50 years.  The development of the community began with Hospital Corporation of America (HCA). Largely through hundreds of mergers, acquisitions and well as new companies, we’ve seen industry trends set in Nashville, as well as startups and spinoffs bringing different sectors of the industry to Nashville. 

Do you have an exit or growth strategy in place?

Before the Hospital Corporation of America, most hospitals were non-profit or affiliated to a religion.  In 1969, one year after inception, HCA became a publicly traded company.  This changed the landscape of the industry for good.  Through an abundance of M&A transactions, HCA now owns and operates more than 170 hospitals in 20 states across the country. In 1995, the Nashville Health Care Council was established, understanding the Nashville health care industry was responsible for $3.7bn in revenue at the time, while providing 53,000 jobs.  Today, the council reports $92bn in annual revenue generated, all while providing more than 570,000 people employed around the globe by healthcare companies based in Nashville.  There are over 900 companies that directly provide health care services, or are in some way involved in the industry.  These numbers are massive, and spurred a ripple effect around the country causing more private equity spending to focus into the industry.  This effect has led to eighteen publicly traded healthcare companies calling Nashville their home, while enticing more than $1bn in venture capital investments over the past decade.  The leaps and bounds made during the past 50 years are obvious, as the entire landscape of the industry has complete changed.  During 2006, Bain Capital, Kohlberg Kravis Roberts & Co. and Merrill Lynch completed a $33bn leveraged buy-out of HCA.  This was the largest leveraged buy-out to date and spurred an unprecedented amount of investment in the industry.  In 2011, HCA returned to the public market in the largest US private equity-backed IPO to date ($3.79bn raised).  HCA’s chain system business model was emulated by hundreds of not-for-profit hospitals throughout the country, and they are considered to be the trailblazer of the industry. 

The M&A landscape continues to change the healthcare industry to this day.  Through the first half of 2018, the healthcare sector saw deal value increase to $315bn, up from $154bn in the same period the previous year. The healthcare sector ranks third in terms of total deal value.  From a valuation perspective, healthcare M&A transactions were at an all time high in 2017.  A large driver within the space was within the senior housing and care marketplace. The number of announced transactions is on pace to set a new record, but the dollar amount of these deals will not exceed the record.  While this shows the hyperactive nature of the marketplace, these deals are occurring as smaller transactions rather than the mega-deals we’ve seen in the past.  This is a very attractive marketplace for sellers all things considered.  Private equity groups accounted for a large uptick in spending during Q4 of 2018. Financial buyers are notably optimistic about the healthcare market, with 120 total deals announced in the final quarter of 2018.  This bodes well for 2019 with 2018 in the rearview, healthcare continues to expand due to high valuations, a very large number of transactions, and an increasingly attractive marketplace. 

For the third year in a row, the number of small business transactions reached record numbers, as reported by BizBuySell.  Financial performances of the small businesses are increased year over year, as well. 49% of sellers said their businesses performed better in 2018 compared to 2017, and another 36% had similar figures comparably.  With financial performance increasing, the value of the transactions inevitably grew.  The medium asking price for small businesses in the US grew 10% from 2017, a clear indication that buyers are willing to pay more for businesses with a proven financial track record and promising futures.
